Abstract: With the present structure of stock right, that is ,“One stock holds the world", it makes the shareholders meeting, board and board of auditors encounter a lot of difficulties by one kind of stock. The accumulative voting system is helpful to realize the control for stock holders to run the board and board of auditors and the benefit of the medium-and-small-size holders will be defended and the shortcomings of direct selection will be corrected.
